Terms and Conditions

Please read the following carefully. By signing up for our service you are indicating that you have read these terms and conditions and that you agree to them.

  1. This agreement for the Celocity calling service is between you (the "customer" or "you", herein) and the service provider, Silicon-by-the-Sea, Ltd. ("SBTS" or "we" herein).
  2. You agree to pay SBTS the amount that appeared on the signup page when you originally signed up for the service, or other such amount as shall be agreed upon between you and SBTS at a later date, monthly in advance for the Celocity service.
  3. You understand that while SBTS will use its best efforts to provide you with the service you have signed up for, SBTS makes no guarantees or warrantees that the service will be without interruptions, failures, or periods when the voice quality may be impaired.
  4. SBTS accepts no liability whatsoever for any problems you may experience while using the service.
  5. Cancellation for reasons other than service interruptions will be effective at the end of the current billing period (unless cancellation is received by SBTS within three business days of the end of the current billing cycle in which case cancellation will be effective at the end of the next billing cycle). No refunds for partial month's service will be issued.
  6. You are responsible for verifying with your cell phone service provider that calls to and from our access number do not incur any charge on your cell phone bill. Under no circumstance will SBTS be responsible for any charges on your cell phone bill whatsoever, regardless of whether or not information we provided caused you to believe that there would be no cell phone charges.
  7. THIS SERVICE DOES NOT SUPPORT CALLING EMERGENCY SERVICES, including but not limited to 911 calls. YOU MUST PLACE ALL SUCH CALLS DIRECTLY USING YOUR PHONE AND NOT THROUGH THE CELOCITY SERVICE.
  8. The phrase "unlimited calling" when used by SBTS to refer to its Celocity service means calling patterns that do not significantly exceed the average usage of other users of the Celocity service.
  9. SBTS may, without advance notice, cancel your service at any time, for any reason. Should this happen, SBTS will refund any unused portion of your monthly fee.
  10. You, as the cell phone owner, are responsible for ensuring that your cell phone use is in accordance with your agreement with your cell phone service provider. SBTS cannot accept any liability for usage that your cell phone service provider deems to be improper.
  11. SBTS reserves the right to change any of these terms and conditions including the amount charged for these services upon 30 days' notice sent by email to the email address you provided when you signed up for this service. It is your responsibility to ensure that SBTS has your current email address so that notices will be received by you in a timely fashion.
  12. All disputes arising out of or in connection with this agreement, or in respect of any legal relationship associated therewith or derived therefrom, shall be referred to and finally resolved by arbitration administered by the British Columbia International Commercial Arbitration Centre pursuant to its Rules.
    The place of arbitration shall be Vancouver, British Columbia, Canada.
